Our services include deal structuring, preparation, drafting, review and negotiation of contracts and related closing services for acquisitions and dispositions of all real property and related asset types. We have successfully closed purchases and sales of hundreds of office, residential, mixed use, retail and industrial buildings, entertainment venues and vacant land for development.
We represent buyers and sellers in all phases of real estate sales transactions, including term sheet or letter of intent drafting, review and negotiation, advising on and performing due diligence, preparing due diligence inquiry responses, purchase and sale agreement drafting, review, and negotiation, resolving title and survey issues, drafting and negotiating closing documents, allocating risk and resolving outstanding liabilities relating to the asset to be purchased or sold, preparing closing statements and performing closings, preparing and negotiating post-closing undertakings and escrow arrangements and performing indemnity enforcement.
We assist with traditional and reverse tax deferred exchanges as well as transfer and recording tax planning, filing and issue resolution. In addition to commercial real estate transactions, we also provide sponsor representation in condominium unit sales.
